Terms of Service
These terms apply when you use millianscales.com or hire MillianScales, based in Toronto, Ontario, Canada. By using the site or our services, you agree to them. If we sign a separate written agreement or proposal with you, that document wins wherever it differs from these terms.
1. Our services
We make ad creative (video, static images and carousels) from photos and clips you send us. On the managed plan, we also build, run, test and report on your ad campaigns. What each plan includes is described in the pricing section of our website or in your quote.
2. Fees and billing
- Fees are as listed on our website or in your quote, plus applicable sales taxes such as HST. They're charged in the currency on your invoice.
- Monthly plans are billed at the start of each month of service.
- Ad spend isn't included in our fees. You pay it directly to the advertising platform from your own account.
- If an invoice goes unpaid, we may pause work, including campaign management, until it's paid.
3. No contract, cancel anytime
Our plans are month to month. You can pause or cancel at any time by emailing us. Cancellation takes effect at the end of the month you've already paid for, and you keep everything we've delivered. Fees already paid for the current month aren't refunded unless we agree otherwise in writing.
4. What you send us
You confirm that you have the right to give us the photos, videos, logos, prices and other materials you send. That includes permission from any people, or owners of property, shown in them. You also confirm that the offers and claims you ask us to put in your ads are accurate.
You allow us to use those materials to make, run and report on your ads.
5. Who owns the work
- You own everything we make for you once it's paid for, including the final ads and the raw exports.
- We keep the right to use our general skills, methods and templates for other work. They don't contain your materials.
- We may show work we made for you in our portfolio, on this website and on social media. Tell us at any time if you'd rather we didn't, and we'll take it down.
6. Your ad accounts
Your ad accounts stay in your name. You give us access through the platform's partner or user permissions, and you can remove that access whenever you want. You're responsible for your ad spend and payment method. Your account must follow the advertising platform's own terms and policies, and we'll build campaigns with those policies in mind.
The platforms decide what gets approved or restricted. We can't control their decisions, but we'll help you respond to them.
7. Reviews and revisions
You review creative before it runs. Revisions to the pieces in your plan are unlimited and included, and we aim to turn them around the same day. Brand-new pieces beyond your plan's count are new work and are quoted separately.
8. Results
Ad performance depends on many things outside our control, including the platform's delivery, your market, budget, offer, pricing and how you follow up on leads. We work hard to improve your results, but we don't guarantee any particular number of leads, sales or cost per lead.
9. Using this website
The text, design and graphics on this site belong to MillianScales. Portfolio pieces belong to us and our clients and are shown with permission. Please don't copy them or use the site in any unlawful or harmful way. Information on the site is general and may change. The terms in your quote or agreement are what count for your work.
The site links to other services, such as Calendly. We aren't responsible for their content or practices.
10. Limits on liability
To the extent the law allows, we aren't liable for indirect or consequential losses, such as lost profits or lost business. Our total liability for any claim related to our services is limited to the fees you paid us in the three months before the claim arose. Nothing in these terms limits any rights you have that can't be limited by law.
11. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario.
12. Changes and contact
We may update these terms. The effective date at the top shows when they last changed. Changes don't apply to a month of service you've already paid for. Questions? Email millianscales@gmail.com.
